1. Acceptance of Terms

Welcome to Zen Fiber Connect (“Company,” “we,” “our,” or “us”). These Terms of Service govern your access to and use of our fiber optic internet services, website, and related services (collectively, the “Services”).

By submitting an application, creating an account, or using our Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

1.1 Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding contract
  • Reside in an area where our Services are available
  • Provide accurate and complete information during registration
  • Comply with all applicable local, state, and federal laws

1.2 Agreement to Terms

Your use of our Services constitutes your agreement to these Terms. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

2.1 Fiber Internet Services

Zen Fiber Connect provides fiber optic internet connectivity services at various speed tiers and pricing plans. Our Services include:

  • High-speed fiber internet access
  • Equipment installation and setup
  • Customer support and technical assistance
  • Network maintenance and upgrades

2.2 Service Availability

Service availability is subject to:

  • Infrastructure availability in your area
  • Successful completion of service installation
  • Compliance with credit and eligibility requirements
  • Technical feasibility at your service address

We reserve the right to determine service availability and may decline service applications at our discretion.

2.3 Service Plans

We offer various service plans with different speeds, features, and pricing. The specific terms of your service plan, including speed, data allowances (if any), and pricing, will be provided during the signup process and confirmed in your service agreement.

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account by providing accurate, current, and complete information, including:

  • Full legal name
  • Date of birth
  • Valid email address
  • Phone number
  • Service address
  • Payment information

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring that your account information remains accurate and up to date

3.3 Account Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • You provide false or misleading information
  • Your account is used for fraudulent or illegal activities
  • You fail to pay fees when due
  • You engage in abusive behavior toward our staff or other users

4. Pricing, Billing, and Payments

4.1 Service Fees

You agree to pay all applicable fees for the Services you select, including:

  • Monthly Service Fees: Recurring charges for your selected internet plan
  • Installation Fees: One-time charges for service installation (if applicable)
  • Equipment Fees: Rental or purchase fees for modems, routers, or other equipment
  • Late Fees: Charges for late or missed payments
  • Early Termination Fees: Charges if you cancel service before the end of your contract term

4.2 Billing and Payment Methods

Billing and payment terms:

  • Fees are billed monthly in advance unless otherwise specified
  • Payment is due on the date specified in your billing statement
  • We accept credit cards, debit cards, and automated bank transfers
  • You authorize us to charge your payment method on file for all applicable fees
  • You are responsible for maintaining valid payment information

4.3 Price Changes

We reserve the right to change our pricing at any time. We will provide you with at least 30 days' notice before any price increase takes effect. Your continued use of the Services after a price change constitutes acceptance of the new pricing.

4.4 Taxes and Fees

All fees are exclusive of applicable federal, state, and local taxes, regulatory fees, and surcharges. You are responsible for paying all such taxes and fees in addition to the stated service fees.

4.5 Late Payments

If payment is not received by the due date:

  • Your account may be assessed a late fee
  • Your service may be suspended or terminated
  • Your account may be referred to a collection agency
  • We may report delinquencies to credit bureaus

4.6 Refunds

All fees are non-refundable except as required by law or as explicitly stated in your service agreement. If you cancel service during a billing cycle, you will not receive a prorated refund for the unused portion of that cycle.

5. Service Installation and Equipment

5.1 Installation

Installation terms:

  • Professional installation is required for all new service connections
  • You must be present or designate an authorized adult (18+) during installation
  • Installation may require drilling, wiring, or other modifications to your property
  • You grant us permission to access your property for installation and maintenance
  • Installation appointments are subject to availability and may be rescheduled

5.2 Equipment

Equipment terms and conditions:

  • We may provide equipment (modem, router, ONT, etc.) that remains our property
  • You are responsible for the care and protection of all provided equipment
  • You must return all equipment upon service termination
  • You will be charged for lost, stolen, or damaged equipment
  • You may not modify, tamper with, or remove any equipment without authorization

5.3 Property Access

By accepting these Terms, you grant us and our contractors the right to access your property to:

  • Install, maintain, repair, or remove equipment
  • Inspect and service our network infrastructure
  • Investigate service issues or technical problems

6. Acceptable Use Policy

6.1 Permitted Use

Our Services are intended for lawful personal or business use. You agree to use the Services only for lawful purposes and in accordance with these Terms.

6.2 Prohibited Activities

You may not use our Services to:

  • Illegal Activities: Engage in any illegal activity or facilitate illegal activities by others
  • Network Abuse: Excessively consume bandwidth, conduct port scanning, or attempt to probe, scan, or test system vulnerabilities
  • Security Violations: Circumvent authentication, access unauthorized systems, or intercept communications
  • Malicious Software: Distribute viruses, malware, ransomware, or other harmful code
  • Spam and Abuse: Send unsolicited bulk email (spam), conduct phishing attacks, or engage in abusive behavior
  • Copyright Infringement: Illegally download, distribute, or share copyrighted content without authorization
  • Network Interference: Interfere with other users' access to the Services or disrupt network operations
  • Fraudulent Activities: Engage in fraud, identity theft, or financial scams
  • Harassment: Harass, threaten, or abuse others online
  • Server Hosting: Run public servers without authorization (certain business plans may permit this)

6.3 Consequences of Violation

Violation of this Acceptable Use Policy may result in:

  • Warning notices
  • Temporary service suspension
  • Immediate service termination without refund
  • Legal action and cooperation with law enforcement
  • Financial liability for damages caused

6.4 Bandwidth and Data Usage

While we generally do not impose data caps, we reserve the right to manage network traffic during periods of congestion and may throttle or limit service to users who consume excessive bandwidth in a manner that negatively impacts other users.

7. Service Level and Performance

7.1 Service Quality

We strive to provide reliable, high-speed internet service. However, service quality may be affected by:

  • Network congestion and traffic patterns
  • Your device capabilities and configuration
  • Wi-Fi interference and signal strength
  • Website or application server performance
  • Natural disasters, power outages, or other force majeure events

7.2 Service Interruptions

Service may be temporarily interrupted due to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency repairs
  • Equipment failures
  • Network upgrades
  • Circumstances beyond our reasonable control

We are not liable for service interruptions, but we will make reasonable efforts to minimize downtime and restore service promptly.

7.3 Speed Disclosures

Advertised speeds represent maximum potential speeds under ideal conditions. Actual speeds may vary based on various factors including network congestion, distance from network equipment, device capabilities, and time of day. We do not guarantee specific speed performance at all times.

8. Term and Termination

8.1 Service Term

Your service agreement begins on the date of service activation and continues on a month-to-month basis or for a specified contract term, as indicated in your service agreement.

8.2 Cancellation by You

You may cancel service at any time by providing written notice. Cancellation terms:

  • You must provide at least 30 days' advance notice of cancellation
  • You remain responsible for all fees until the cancellation effective date
  • Early termination fees may apply if you cancel before the end of a contract term
  • You must return all equipment within 14 days of service termination
  • No refunds will be provided for prepaid service periods

8.3 Termination by Us

We may terminate your service immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • You fail to pay fees when due
  • You provide false or fraudulent information
  • Your conduct poses a security risk or harms our network
  • We discontinue service in your area

8.4 Effects of Termination

Upon termination:

  • Your access to the Services will be immediately discontinued
  • You must immediately pay all outstanding fees and charges
  • You must return all equipment within 14 days or be charged for its value
  • Provisions of these Terms that should survive termination will remain in effect

9. Privacy and Data Collection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Services, you acknowledge and agree that:

10. Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, software, and the compilation thereof (collectively, “Content”), are the exclusive property of Zen Fiber Connect or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

10.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include any right to:

  • Resell or make commercial use of the Services
  • Modify, copy, or create derivative works of any Content
  • Download or copy account information for the benefit of another party
  • Use data mining, robots, or similar data gathering tools
  • Reverse engineer or attempt to extract source code from our software

10.3 Trademarks

Zen Fiber Connect and our logos are trademarks or registered trademarks of our company. You may not use our trademarks without our prior written permission.

11. Disclaimers and Warranties

11.1 Service “As Is”

The services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

11.2 No Guarantees

We do not warrant that:

  • The Services will meet your specific requirements
  • The Services will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • Any errors in the Services will be corrected
  • The Services will be compatible with all devices or software

11.3 Internet Risks

You acknowledge that use of the internet and our Services involves risks, including but not limited to:

  • Interception of data by third parties
  • Exposure to viruses, malware, or other harmful components
  • Access to inappropriate or offensive content
  • Interaction with untrustworthy individuals or entities

You assume all risks associated with your use of the Services and the internet.

12. Limitation of Liability

12.1 Limitation of Damages

To the maximum extent permitted by law, Zen Fiber Connect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the services;
  • Any conduct or content of any third party on the services;
  • Any content obtained from the services;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • Service interruptions or outages;
  • Viruses, malware, or other harmful components;
  • Errors, mistakes, or inaccuracies in content;
  • Personal injury or property damage arising from your use of the services.

12.2 Cap on Liability

To the maximum extent permitted by law, our total liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid us for the Services in the three (3) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

12.3 Basis of the Bargain

You acknowledge that we have set our prices and entered into these Terms in reliance on the disclaimers and limitations of liability set forth herein, which allocate the risk between us and form a basis of the bargain between the parties.

13. Indemnification

You agree to defend, indemnify, and hold harmless Zen Fiber Connect, its affiliates, and their respective directors, officers, employees, agents, and contractors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from:

  • Your use of or access to the Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property, privacy, or other rights
  • Your violation of any applicable laws or regulations
  • Any content you submit, post, or transmit through the Services
  • Your willful misconduct or negligence

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@zenfiberconnect.com. We will attempt to resolve the dispute informally within 30 days.

14.2 Binding Arbitration

If we cannot resolve the dispute informally, you and Zen Fiber Connect agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration, rather than in court, except that:

  • Either party may bring a claim in small claims court if it qualifies
  • Either party may seek equitable relief in court for infringement or misuse of intellectual property rights

The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Supplementary Procedures for Consumer Related Disputes.

14.3 Class Action Waiver

You and Zen Fiber Connect agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

15. Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the applicable state, without regard to its conflict of law provisions.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published on our website, constitute the entire agreement between you and Zen Fiber Connect regarding the Services and supersede all prior agreements and understandings.

16.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Services after any modification constitutes acceptance of the updated Terms.

16.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

16.4 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Zen Fiber Connect.

By using our Services, you consent to receive electronic communications from us. These communications may include notices about your account, promotional materials, and other information concerning our Services.
